Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and NestHire, a trading name of Archline Technologies (Pty) Ltd ("NestHire," "we," "us," or "our"), a company registered in the Republic of South Africa. By accessing or using the NestHire platform at nesthire.io ("Service"), you agree to be bound by these Terms. If you do not agree, you must not use the Service.

By creating an account or using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

2. Description of Service

NestHire is an AI-powered recruitment platform that helps employers manage hiring workflows. The Service includes, but is not limited to:

• Creating and publishing job postings, including public career pages
• Uploading and receiving candidate CVs (curricula vitae / resumes)
• Automated CV parsing, personally identifiable information (PII) redaction, and AI-assisted scoring against job requirements
• Candidate management, shortlisting, and recruiter collaboration tools
• AI-powered assistants and analytics features
• Email communication templates and logs

3. Account Registration & Security

To use the Service you must create an account by providing a valid email address, organisation name, and password. You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activities that occur under your account
• Ensuring that your use of optional two-factor authentication (2FA) is kept secure and that backup codes are stored safely
• Managing user roles (owner, recruiter, viewer) within your organisation responsibly and ensuring appropriate access levels

You must notify us immediately at support@nesthire.io if you suspect any unauthorised access to your account.

4. Free Trial & Subscriptions

NestHire offers a 14-day free trial on the Starter plan. No credit card is required to begin a trial. At the end of the trial period, you may subscribe to one of our paid plans: Starter, Growth, or Scale.

Current pricing for each plan is displayed on our pricing page. Prices may vary by region and currency as determined by our payment provider, Paddle. Plan limits (including maximum users, active jobs, candidates per month, and AI credits) are as displayed on the pricing page and may be updated from time to time with 30 days' notice to active subscribers.

Payments are processed through our third-party payment provider, Paddle. By subscribing, you also agree to Paddle's terms of service. Subscriptions renew automatically unless cancelled before the end of the current billing period. Please see our Refund Policy for cancellation and refund details.

5. Permitted Use & Restrictions

You agree to use the Service only for lawful recruitment purposes. You must not:

• Use the Service in a manner that violates any applicable law or regulation, including the Employment Equity Act (EEA), the Protection of Personal Information Act (POPIA), or the General Data Protection Regulation (GDPR)
• Use AI-generated scores as the sole basis for making hiring or rejection decisions without human oversight and review
• Scrape, crawl, or use automated means to extract data from the Service beyond normal API usage within your plan limits
• Reverse-engineer, decompile, or attempt to derive the source code of the Service
• Share your account credentials or allow multiple individuals to use a single user account
• Upload malicious files, viruses, or content designed to disrupt the Service
• Use the Service to discriminate against candidates on the basis of race, gender, age, disability, religion, sexual orientation, or any other protected characteristic

6. User Content & Data Ownership

You retain full ownership of all data you upload to the Service, including CVs, job descriptions, candidate information, email templates, and any other content ("User Content").

By uploading User Content, you grant NestHire a limited, non-exclusive, worldwide licence to process, store, and analyse your data solely for the purpose of providing and improving the Service. This licence terminates when you delete your data or close your account.

We do not use your User Content to train AI models. CV data sent to third-party AI providers for scoring is PII-redacted and processed under our data processing agreements with those providers.

7. AI-Powered Features Disclaimer

NestHire uses artificial intelligence to parse CVs, redact personal information, and generate candidate match scores and assessments. You acknowledge and agree that:

• AI scores are advisory only. They are designed to assist human recruiters, not replace human judgement. You must not rely solely on AI-generated scores to make hiring, rejection, or any other employment decisions.
• AI outputs may contain inaccuracies, and NestHire does not guarantee the accuracy, completeness, or reliability of any AI-generated content
• You are solely responsible for all final hiring decisions and for ensuring those decisions comply with applicable employment and anti-discrimination laws
• Strictness profiles (lenient, balanced, strict) affect scoring thresholds but do not change the underlying assessment methodology

8. Third-Party Services

The Service integrates with third-party providers to deliver its functionality, including but not limited to:

• OpenAI — for CV scoring and text analysis (PII is redacted before data is sent)
• Microsoft Azure — for file storage, email delivery, and infrastructure
• Paddle — for subscription billing and payment processing

NestHire is not responsible for outages, errors, or data handling by third-party providers beyond what is covered by our data processing agreements with them. Your use of the Service is also subject to the terms and privacy policies of these providers as applicable.

9. Intellectual Property

The Service, including its design, code, algorithms, branding, documentation, and the Nesti mascot, is the intellectual property of Archline Technologies, trading as NestHire, and is protected by South African and international intellectual property laws.

Nothing in these Terms grants you any right, title, or interest in our intellectual property except the limited right to use the Service in accordance with these Terms.

10. Limitation of Liability

To the maximum extent permitted by South African law, including the Consumer Protection Act 68 of 2008 ("CPA"):

• NestHire provides the Service on an "as is" and "as available" basis without warranties of any kind, whether express or implied
• We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components
• Our total aggregate liability to you for any claims arising out of or relating to these Terms or your use of the Service shall not exceed the total fees paid by you to NestHire in the twelve (12) months preceding the claim
• NestHire shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, even if advised of the possibility of such damages
• NestHire shall not be liable for any hiring decision made based on AI-generated scores or recommendations

11. Indemnification

You agree to indemnify and hold harmless NestHire, its directors, employees, and affiliates from any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising from:

• Your use of the Service in violation of these Terms
• Your violation of any applicable law or regulation
• Any hiring decisions you make using the Service
• Any data you upload to the Service that infringes third-party rights

12. Termination

You may cancel your account at any time through the Settings page or by contacting support@nesthire.io. Upon cancellation:

• Your access to paid features will continue until the end of your current billing period
• Your data will be retained for 30 days after account closure, after which it will be permanently deleted unless a longer retention period is required by law

NestHire reserves the right to suspend or terminate your account immediately if you breach these Terms, engage in fraudulent activity, or use the Service in a manner that threatens the security or integrity of the platform.

13. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Gauteng, South Africa.

Before initiating legal proceedings, both parties agree to attempt to resolve any dispute through good faith negotiation for a period of not less than 30 days.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes at least 30 days before they take effect by email or through a notice on the Service. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
